BCP, a services and infrastructure-focused private equity management firm, announced that it has agreed to sell its stake in Brown & Root Industrial Services, a provider of non-discretionary, specialty industrial services. KBR, Inc., which has been an investor in Brown & Root Industrial Services since 2015, will continue to own a significant stake in the Company.
Since forming Brown & Root Industrial Services in partnership with KBR in 2015, BCP has worked closely with the company to strengthen its nearly century-long reputation as a trusted and innovative partner in the industrial services sector. Over the past decade, Brown & Root has greatly expanded its geographic reach, enhanced its industry-leading capabilities, and built a top-tier workforce. Today, the company serves blue-chip clients in the chemicals and synthetics, energy, manufacturing, and government sectors, employing more than 10,000 people across 22 locations in the U.S., Mexico, and Canada.
The transaction is expected to be completed in late Q3 or early Q4 2025, subject to customary closing conditions and approvals. Houlihan Lokey is acting as financial advisor and Kirkland & Ellis LLP is serving as legal advisor to BCP.
