Pennsylvania issues RFP seeking PPP counsel services

The Commonwealth of Pennsylvania has issued an RFP seeking public-private partnership counsel services. The advisory will provide the following scope of works:

  • Meeting with agency; other Commonwealth personnel; counsel; consultants; and other interested parties, which include but are not limited to the turnpike commission, municipalities, or potential proposers to discuss the details of a p3 proposal on a case by case basis;
  • Evaluating proposed project delivery methods, plans, and environmental requirements with personnel and consultants;
  • Evaluating proposal permits and approvals identified or the offeror;
  • Evaluating with personnel or consultants, the financing and operation plan of the proposal, including evaluation of an offeror’s financial documents;
  • Negotiating, in conjunction with personnel, attorneys, consultants, and other interested parties, P3 agreements;
  • Participating in presentations to decision makers, which may include, but is not limited to, the P3 Steering Committee, concerning acceptance, rejection or modification of P3 proposals;
  • Drafting documents relating to P3 procurements;
  • Drafting legal documents relating to a P3 proposal, including a P3 agreement, and any other legal documents required to implement a proposal;
  • Providing other general legal advice regarding evaluation, negotiation, and financing of P3 proposals pursuant to the P3 Law;
  • Providing transactional support and general legal advice, which includes but is not limited to, contract review, contract drafting, research, legal analysis, advisement, and negotiation for existing and future P3 projects created pursuant to the P3 Law.  Projects include but are not limited to, the Rapid Bridge Replacement project and CNG fueling station project; and
  • Litigation support for proposed and existing P3 Projects.

Advisory will be responsible to provide the above works for a period of one year. Deadline to submit the response is July 9, 2019.
