OCS has announced the recommended acquisition of Mitie Group plc for approximately £3.1 billion, bringing together two complementary facilities management businesses to create a larger UK-headquartered international services group. The acquisition will be implemented through a UK court-sanctioned scheme of arrangement, under which Mitie shareholders will receive 218.5 pence in cash per share, together with Mitie's final dividend of up to 3.1 pence per share, representing a total value of 221.6 pence per share. The offer represents a 46.8% premium to Mitie's closing share price on 20 July 2026. The transaction has been unanimously recommended by Mitie's board and remains subject to shareholder approval, regulatory clearances, and other customary closing conditions.
The proposed combination is intended to create a stronger facilities management company with broader sector expertise, expanded geographic reach, and enhanced service capabilities. OCS and Mitie have complementary operations across government, defence, healthcare, national infrastructure, life sciences, and commercial markets. By combining their resources, the companies aim to provide integrated, self-delivered services that help customers manage increasingly complex, regulated, and mission-critical environments while improving operational efficiency and service quality.
The acquisition also supports OCS's long-term growth strategy by combining complementary customer relationships and service portfolios while expanding opportunities in high-growth sectors. The enlarged group expects to benefit from enhanced operational capabilities, cross-selling opportunities, and improved resilience through a more diversified customer base. Leadership from both companies emphasized their shared culture, entrepreneurial heritage, and commitment to delivering high-quality services, while ensuring continuity for customers and employees throughout the integration process. The transaction is expected to complete in early 2027, subject to the required approvals. Once finalized, Mitie will become part of the OCS Group and is expected to be delisted from the London Stock Exchange. The deal represents one of the largest consolidations in the UK facilities management industry and reflects the growing demand for integrated outsourced services supporting critical infrastructure, public services, and commercial operations.
