Metlen Energy & Metals to Spin Off Concessions and PPP Business into New Subsidiary

Metlen Energy & Metals has announced plans to demerge its concessions and public-private partnership (PPP) business and transfer it to its wholly owned subsidiary, M Concessions Single-Member S.A. The transaction is intended to bring the group’s concessions and PPP activities under a dedicated corporate structure. Metlen’s board approved the demerger agreement on August 7, 2026, and subsequently registered it with Greece’s General Commercial Registry. 

Under the transaction, M Concessions will assume the business activities, assets, liabilities, rights, and obligations associated with Metlen’s concessions and PPP operations. The transferred portfolio will include interests in project companies, contractual rights, ongoing tender participations, personnel, equipment, and related tangible, intangible and financial assets. The accounting statement for the business being transferred is based on its position as of December 31, 2025. 

As part of the restructuring, M Concessions’ share capital will increase by €105.06 million through the issuance of 105,064,218 new ordinary registered shares, each with a nominal value of €1. The newly issued shares will be subscribed by Metlen Energy & Metals Single-Member S.A., maintaining the subsidiary’s ownership within the group. Compass Certified Auditors and Business Consultants P.C. has been appointed to prepare the valuation report for the assets being transferred. 

The spin-off is designed to consolidate Metlen’s infrastructure activities under a single corporate structure, enabling greater operational focus, synergies and economies of scale. It is also expected to provide greater financial flexibility and establish a stronger standalone platform for developing the group’s concessions and PPP business. 

The transaction remains subject to approval by the general assembly of shareholders of Metlen Energy & Metals Single-Member S.A., which is expected to take place by September 30, 2026. The demerger is being carried out under the applicable Greek corporate and tax legislation.
