RFP Issued For Transaction Advisory Services for Irrigation Dams and Associated Infrastructure

The Public Private Partnerships Directorate (PPPD) of the National Treasury, on behalf of and in consultation with the State Department for Irrigation (SDI) under the Ministry of Water, Sanitation and Irrigation (MWSI), seeks to engage a Transaction Advisor (TA)/ Consultant to assist in carrying out detailed feasibility studies for the Irrigation Dams & Associated Infrastructure Projects.

The SDI, within the MWSI, is executing the National Irrigation Sector Investment Plan (NISIP) 2025–2035, which seeks to create and implement a strong, well-coordinated framework for investment and financing in the irrigation sector over 10 years. The plan’s main goal is to increase the country’s irrigated land by 1,000,000 acres through the Maximized Community Scheme Benefits approach. In line with this objective, the SDI plans to develop several key dam projects to enhance irrigation capacity and strengthen food security, including the Radat Dam Irrigation and Canal Project in Baringo County, the Barsalinga Dam Irrigation Development Project in Isiolo and Samburu Counties, the Lowaat Dam Irrigation Development Project in Turkana County, and the Soin Koru Dam Development Project in Kisumu and Kericho Counties.

The TA, comprising a firm or consortium with multidisciplinary expertise, will support the Project through the entire PPP process to achieve financial close. This includes reviewing and updating existing feasibility studies, conducting gap analyses, and preparing new studies where necessary. The TA will recommend the optimal PPP structure, advise on risk allocation and legal frameworks, and prepare all key procurement documents such as RFQ, RFP, and draft agreements. Additionally, the TA will assist in securing required approvals and provide support throughout the procurement process, including market engagement, bid evaluation, and investor selection. The Consultant will assess the existing feasibility studies, carry out additional engineering investigations where required, and offer advisory support in developing a robust business case for the four proposed dam projects. The Transaction Advisor will also perform a comprehensive evaluation covering technical, financial, environmental, legal, and institutional aspects to determine the projects’ viability, confirm their suitability for implementation, and recommend the most appropriate structure to attract private sector investment.

The scope of work is structured into three phases: Phase I focuses on reviewing feasibility studies, conducting PPP feasibility assessments, and identifying projects suitable for PPP procurement; Phase II covers preparation of transaction documents and managing the tender process through to financial close; and Phase III involves capacity building and knowledge transfer to the Project Implementation Team, running concurrently with the other phases.

The key personnel are required to possess strong academic qualifications and extensive professional experience relevant to PPP project development, including expertise in engineering, finance, law, and environmental and social safeguards. They should demonstrate proven experience in preparing feasibility studies, structuring PPP transactions, and managing complex infrastructure projects, preferably in the water or irrigation sector. Additionally, the team must have a solid understanding of PPP frameworks, project finance, and procurement processes, with experience in similar assignments in developing countries being an added advantage. Strong analytical, communication, and stakeholder engagement skills are essential, along with the ability to work collaboratively within multidisciplinary teams.
