Balfour Beatty has sold its 50% shareholding in Gammon Construction to Jardine Matheson in Hong Kong for £250 million (US$331 million).
The transaction gives Jardine Matheson full ownership of Gammon Construction, a construction and engineering company operating primarily in Hong Kong and other Asian markets. The sale marks Balfour Beatty’s exit from its joint-venture investment in Gammon and enables Jardine Matheson to take complete control of the business. Balfour Beatty and Jardine Matheson had jointly owned Gammon Construction, with each holding a 50% stake. Through this transaction, Balfour Beatty is transferring its entire shareholding to Jardine Matheson. The consideration for the sale is £250 million, payable in three instalments, allowing Balfour Beatty to realise the value of its investment while transferring full ownership to its existing joint-venture partner.
The main reason for the transaction is Balfour Beatty’s strategy to concentrate on its core markets in the United Kingdom and the United States, where it sees significant opportunities for profitable growth. The company launched its “Evolve, Energise and Explore” strategic framework in March 2026 to strengthen its core business, accelerate growth in selected markets and explore future opportunities. Selling its stake in Gammon is consistent with this strategy, while Jardine Matheson can use its regional market presence and expertise to develop Gammon as a wholly owned business.
The sale consideration of £250 million will be paid in three equal instalments: the first payment of approximately £83.3 million was made upon completion on 13 October 2026, with the remaining instalments due by 31 December 2027 and 31 December 2028. Balfour Beatty reported that its 50% share of Gammon’s profit from operations was £36 million in 2025 and £11 million in the first half of 2026. Following the transaction, Gammon will be reported as a discontinued operation in Balfour Beatty’s 2026 financial statements. The deal concludes a successful joint venture that began in 2004 and allows both companies to pursue their respective strategic priorities.
